We are currently seeking a Senior Legal Counsel - Leveraged Finance to join the HSBC UK Legal Team. This Senior Legal Counsel role has a focus on Leveraged Finance within the HSBC UK Commercial Banking (CMB) business. The role of Senior Legal Counsel is to provide legal advice, guidance and support to the UK leveraged finance and private credit businesses ( UK LevFin).
In this role, you will:
- Provide high quality, timely and cost-effective legal support and transaction execution services to the UK LevFin business, primarily to support the structuring and execution of leveraged finance, private credit and investment grade (flow and event) corporate loan financings.
- Manage legal risk to ensure that the interests of the HSBC Group are adequately protected.
- Build a trusted adviser relationship with the UK LevFin business and ensuring that commercially sensitive and pragmatic legal advice is provided that incorporates legal, reputational and other relevant risk considerations.
- Demonstrate a good commercial understanding of loan transactions, LMA documentation and current market terms.
- Keep abreast of relevant regulatory and legal developments and sharing legal knowledge and best practices with relevant internal stakeholders; and
- Build and manage relationships with internal and external stakeholders, including but not limited to, UK LevFin management, colleagues in the Global Legal function, Portfolio Management, Compliance, ESG, Credit and Tax.
To be successful in this role you should meet the following requirements:
- UK qualified Solicitor with over extensive PQE and relevant sector experience gained either within a financial institution or top tier private practice; with an excellent knowledge of leverage finance and private credit transactions.
- Experience of a broad range of lending and security products, documents and structures, including various types of borrowers;
- Excellent written and spoken communication skills, with experience of adapting your style and approach to the audience and message to be delivered.
- Ability to think laterally and offer solutions to business problems with a track record of making complex business decisions with authority, even in times of ambiguity, considering the potential long term risks and implications.
- Ability to prioritise and work directly with the UK LevFin business, autonomously building and managing the team's relationships with senior stakeholders.
The base location for this role is London with a hybrid working pattern.
