Description
1. Role PurposeAct as the key gatekeeper between the Board, regulators and capital markets; lead the Group's HK IPO project end-to-end and ensure full compliance with HKEX Listing Rules, Companies Ordinance and SFO post-listing; partner with CFO to deliver best-in-class disclosure, ESG reporting and market value management.
2. Key Responsibilities
A. IPO & Listing Compliance
- Project-manage Hong Kong IPO timetable, coordinate sponsors, lawyers, auditors, PR and valuation agents; prepare all regulatory filings (A1, PHIP, Prospectus, Form H).
- Draft and vet announcements, circulars, periodic reports (annual/interim, inside-info, notifiable/connected transactions).
- Maintain statutory books, registers and minutes; organise Board, Audit, Remuneration, ESG and General Meetings in accordance with HK Corporate Governance Code.
B. Regulatory & Risk Management
- Ensure continuous compliance with HKEX Listing Rules Ch.3, 13, 14, ESG Code and Companies Ordinance Cap.622.
- Monitor inside-information obligations, Model Code for Securities Transactions and disclosure of interests.
- Keep abreast of SFC, HKEX and Companies Registry policy updates; brief Board on impact and action plans.
C. Capital Markets & Investor Relations
- Build and maintain relationships with analysts, funds, ESG rating agencies; organise roadshows, earnings calls and non-deal roadshows. - Develop IR calendar, Q&A database and consensus tracker; provide monthly market value analysis and peer benchmarking to Board.
- Coordinate crisis communications and price-sensitive announcements.
D. Corporate Governance & ESG
- Drive board evaluation, director induction and continuing professional development; maintain board diversity matrix.
- Lead ESG data collection, GRI/HKEX ESG reporting and climate-risk disclosure; liaise with sustainability consultants.
E. Finance Leadership (If Dual Hat)
- Oversee financial reporting under IFRS/HKFRS, group consolidation, budgeting and forecasting.
- Manage banking, rating agency and debt investor relationships; support M&A, spin-offs and dividend policy design.
3. Person Specification
- Bachelor's degree in Finance, Accounting, Law or related discipline; Master's / MBA / HKICPA / CFA preferred.
- Minimum 8 years of corporate secretarial and IPO experience, including successful lead of at least one HK main-board IPO from pre-A1 to listing. -
Fluent English and Mandarin (spoken & written); able to draft bilingual board papers and announcements.
- In-depth knowledge of HKEX Listing Rules, Companies Ordinance, SFO and Takeovers Code.
- Holder of **HKICS / ICSA membership**, or **Hong Kong CPA / solicitor qualification**, or demonstrable "relevant experience" under Rule 3.28 Note 2.
- Strong stakeholder management and project leadership; comfortable presenting to Board & regulators.
Highly Preferred** - Listed-company CFO or deputy CFO background with HK GAAP / IFRS reporting experience.
